• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH OUR SERVICES;

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES;
• DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES;
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
• DAMAGES ARISING FROM STATEMENTS OR CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH OUR SERVICES;
• ANY OTHER MATTER RELATING TO OUR SERVICES;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF JET'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN JURISDICTIONS WHERE THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES IS NOT ALLOWED, OUR LIABILITY SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.

IN ANY EVENT, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO JET'S PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

10. Indemnification

You agree to defend, indemnify, and hold harmless Jet's Pizza, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, contractors, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service;
• Your use or misuse of our Services;
• Your violation of any applicable federal, state, or local law or regulation;
• Your violation of any third-party rights, including intellectual property rights, privacy rights, or rights of publicity;
• Any content or information you submit, post, or transmit through our Services;
• Any dispute between you and a third party arising from your use of our Services;
• Your willful misconduct or negligent acts or omissions.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate fully with our defense of such claim.

12. Governing Law and Jurisdiction

These Terms of Service and any disputes arising out of or related to these Terms or your use of our Services shall be governed by and construed in accordance with the laws of the United States of America and the laws of the state in which our primary place of business is located, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or related to these Terms or your use of our Services shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

These Terms shall also be subject to applicable federal laws and regulations, including but not limited to:

• The Federal Trade Commission Act (FTC Act), 15 U.S.C. § 41 et seq., governing consumer protection and unfair or deceptive trade practices;
• The Computer Fraud and Abuse Act (CFAA), 18 U.S.C. § 1030, governing computer-related offenses;
• The Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512, governing copyright protection;
• The Electronic Communications Privacy Act (ECPA), 18 U.S.C. § 2510 et seq.;
• The California Consumer Privacy Act (CCPA) and California Privacy Rights Act (CPRA), as applicable, for residents of California;
• Applicable state consumer protection statutes in the state where services are provided.

13. Dispute Resolution

13.1 Informal Resolution

Before initiating any formal dispute resolution process, you agree to contact Jet's Pizza at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any complaint or dispute within thirty (30) days of receiving notice of the issue.

13.2 Binding Arbitration

If a dispute cannot be resolved informally within thirty (30) days, you and Jet's Pizza agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of our Services shall be resolved through binding individual arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules, which are available at www.adr.org. The arbitration shall be conducted in English.

The arbitrator shall have exclusive authority to resolve all disputes, including any claim that all or part of these Terms is unenforceable. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information. This exception does not waive the right to arbitrate other disputes.

13.5 Arbitration Fees

The allocation of arbitration fees and costs shall be governed by the AAA's Consumer Arbitration Rules. If you demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Jet's Pizza will pay as much of your arbitration fees and costs as the arbitrator deems necessary to prevent the arbitration process from being cost-prohibitive.

14. Term and Termination

These Terms of Service shall remain in full force and effect for as long as you use our Services or maintain an account with us. Either party may terminate this agreement at any time.

14.1 Termination by You

You may stop using our Services at any time and, if applicable, close your account by contacting us at [email protected]. Your obligation to pay for any orders already placed and confirmed shall survive termination.

14.2 Termination by Us

We reserve the right to suspend or terminate your access to our Services, with or without notice, for any reason, including but not limited to:

• Conduct that is harmful to other users, third parties, or our business interests;

14.3 Effect of Termination

All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law provisions.

17. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices or agreements published by Jet's Pizza on the Site, constitute the entire agreement between you and Jet's Pizza concerning your use of our Services. Jet's Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, government actions or restrictions, labor disputes or strikes, power outages, internet disruptions, supply chain failures, civil unrest, war, terrorism, or any other event that constitutes a force majeure event under applicable United States law.

In the event of a force majeure event, we will make reasonable efforts to notify you and to resume normal operations as soon as practicable. Your sole remedy in such circumstances shall be to cancel any unprocessed orders and receive a refund of any payments made for undelivered goods.

By using our Services, you consent to receive electronic communications from Jet's Pizza, including but not limited to order confirmations, receipts, updates about your orders, promotional emails (where consent has been provided), and other communications related to your use of our Services.
